Terms of Service, Policies, and Conditions
These Terms of Service, Policies, and Conditions (“Agreement”) govern all interactions between Luxury Quality Tyme Inc. (“Company,” “we,” or “us”) and any individual or entity (“Student,” “Client,” or “you”) related to our educational programs, services, software, content, franchise and licensing offerings, and student clinic operations. By enrolling, accessing our platform, attending courses, or purchasing services, you agree to be bound by this Agreement in its entirety.

Definitions
• Services: All educational offerings (in-person, virtual, self-paced, VR training, continuing education), student clinic services, corporate programs, curriculum licensing, SaaS/AI platform, materials, and support provided by Company.
• Platform: Company’s online learning management system (LMS), AI-driven adaptation tools, scheduling engine, classroom portals, and support interfaces.
• Content: All text, videos, presentations, software code, curricula, manuals, reports, and deliverables created or licensed by Company.
• Licensee: Authorized third-party school or enterprise partner under a franchise or curriculum/SaaS licensing agreement.
• Fees: Tuition, subscription charges, licensing fees, clinic session fees, materials costs, and any other sums due under this Agreement.
Acceptance of Terms
Enrolling in or accessing any Service constitutes your acceptance of this Agreement. If you do not agree, do not enroll, attend, access, or purchase any Services.
Enrollment & Eligibility
• You must be at least 18 years old or have parental/guardian consent.
• You must provide accurate, complete registration and payment information.
• Company may run background checks, verify credentials, and refuse or terminate enrollment for any reason, including failure to meet prerequisites or code of conduct violations.
Scope of Services
• Company delivers only the Services outlined in your enrollment confirmation or license agreement.
• Changes to scope require a written amendment and may incur additional Fees.
• Company may engage qualified contractors or partners but retains full responsibility for Service delivery.
Intellectual Property
• All Content, methodologies, software, curricula, trademarks, and logos remain the sole property of Company or its licensors.
• You receive a limited, non-exclusive, non-transferable license to access and use Content solely for your personal or internal business training, subject to this Agreement.
• You may not copy, distribute, modify, sell, reverse-engineer, or publicly display any Content.
License Grant & Restrictions
• Students: Granted a personal, revocable license to access in-scope courses for the enrollment period.
• Licensees: Granted rights only as expressly set forth in a separate Franchise or Licensing Agreement.
• Prohibited acts include scraping data, sublicensing, sharing account credentials, and using Content to develop competing programs.
Payment, Fees & Billing
• Tuition & Course Fees: Due upon enrollment or per the payment plan.
• SaaS & Licensing Fees: Billed annually or per term as specified in your license agreement.
• Clinic Sessions: Paid at time of booking.
• Payment Methods: Major credit cards, ACH, or other methods approved by Company.
• Taxes & Expenses: You are responsible for all applicable taxes, duties, and fees.
Cancellations, Refunds & Transfers
• In-Person & Virtual Courses:• Cancellations more than 14 days before start date: full refund minus a $250 administrative fee.
• Cancellations within 14 days: no refund, transferable credit valid for one calendar year.
• Online Self-Paced: Non-refundable after 7 days of enrollment.
• Corporate & Licensing Programs: Governed by separate written agreements.
• Clinic Appointments:• Cancellations less than 24 hours before: 50% session fee.
• No-shows: full session fee.
Student Responsibilities & Code of Conduct
• Attend scheduled classes and complete assignments in a timely manner.
• Maintain academic integrity; cheating or plagiarism results in immediate expulsion without refund.
• Comply with campus, virtual platform, and clinic safety rules.
• Respect instructors, staff, peers, and Company property.
• Report any technical issues or hazards immediately.
Privacy & Data Protection
• Company collects and processes personal data under our Privacy Policy.
• AI-driven services may analyze usage, performance metrics, and classroom interactions to personalize learning.
• You consent to anonymized analytics for product improvement and business reporting.
Confidentiality
• All non-public Company information (business processes, pricing models, software roadmaps) is Confidential.
• You must not disclose Confidential Information to third parties or use it for any purpose other than approved learning or implementation.
Disclaimer of Warranties
• Services are provided “as is” and “as available.”
• Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
Limitation of Liability
• Company’s total liability for any claim arising under this Agreement shall not exceed the Fees paid by you in the six (6) months preceding the claim.
• In no event shall Company be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits or data.
Indemnification
You agree to indemnify, defend, and hold harmless Company, its officers, directors, employees, agents, and licensors from any claims, liabilities, losses, costs, or expenses (including attorneys’ fees) arising from your breach of this Agreement or your negligent or willful acts.
AI & Automated Services
• AI-driven recommendations, assessments, or scheduling tools are advisory only.
• Company does not guarantee specific learning outcomes, licensure pass rates, or placement results.
• Any reliance on AI outputs is solely at your own risk.
Franchise, Licensing & Partnership Programs
• Governed by separate, written Franchise or Licensing Agreements.
• Company reserves rights to audit compliance, enforce quality standards, and terminate agreements for cause.
• Licensees must maintain accreditation and insurance as required by Company.
Force Majeure
Neither party shall be liable for delays or failures due to causes beyond its reasonable control, including acts of God, government orders, power failures, pandemics, or telecommunications outages.
Governing Law & Dispute Resolution
• This Agreement is governed by Florida law, without regard to conflicts of law principles.
• All disputes shall be resolved by binding arbitration in Palm Beach County under the Commercial Arbitration Rules of the American Arbitration Association.
• Each party waives jury trial rights.
Modifications
Company may modify this Agreement at any time by posting updated terms on our website or notifying you directly. Continued use of Services after changes constitutes acceptance.
